19. NO WAIVER
The failure of either Party at any time to require performance of any provision of this Agreement shall not affect the right of that Party at a later time to enforce such provision. No remedy referred to in this Agreement is intended to be exclusive, but each shall be cumulative and in addition to any other remedy referred to herein or otherwise available at law or in equity.
20. VARIATION OF AGREEMENT
The terms and conditions within this Agreement may be amended and/or varied from time to time provided such amendment/variation is in writing and consent is obtained from both Parties.
21. RIGHTS OF THIRD PARTY
Any party which is not a Party to this Agreement has no right whatsoever to enforce any term(s) of this Agreement.
22. SEVERABILITY
Any term or provision of this Agreement that is determined by a court of competent jurisdiction to be invalid or unenforceable shall be ineffective to the extent of such invalidity or unenforceability without rendering invalid or unenforceable the remaining terms and provisions of this Agreement.
23. ENTIRE AGREEMENT
This Agreement supersedes any previous agreement between the parties in relation to the matters dealt herein and represents the entire understanding between the Parties in relation thereto. The Agreement may only be amended in accordance with the provisions of this Agreement or by a written instrument duly signed by authorized representatives of both Parties.

协议的任何一方在任何时候未能提出执行该协议中的条款不能影响该方以后对此条款的执行。凡本协定提及的法定补偿（办法）皆不具备排他性，每一条法定补偿（办法）应当与现行法律或衡平法中所提及的相一致。

协议的变动
协议中的条款和限制性规定可以时有修正和/或变动，前提条件是该修正和/或变动是书面格式并且得到协议双方的准许。
21。第三方权力
任何非次协议方无权以任何方式执行次协议中的任何条款。
22。协议的终止
此协议中的任何条款，凡经由法庭正当司法裁决为无效的或者不可实施的，应当在不放弃协议中余下条款的基础上废弃它们的效力和执行力。

完整条款
此协议代替任何之前在双方处理此协议中提及相关事务所签订的协议。并且代表了关系双方达成完全理解。此协议只能够按照此协议中规定的条款进行修订，或者凭借经双方授权代表如期签字的书面文据进行修订。
