Missing Provision - 遗漏的条款/非明文的条款

A missing provision 常见于合同，一般定义如下：
A missing provision has to be so obvious that the parties would both say, if asked to include it at time of entering into the contract, “yes of course, that goes without saying”。
  
遗漏的条款应该相当明显，如在订立合同之时被问及应否将该条款包括在内，各方都会表示，“当然应该，那还用说吗？” 
这词组常见于合同的后半部份，如Severability clause（合同中止条款）、Salvation Clause （补救条款）、Other Provisions（其他条款）等。
  常见的例如下：
1。 Severability clause 
In the event that any provisions of the above arrangements are legally invalid either wholly or in part, this shall not affect the validity of the remaining provisions。
   The parties hereto undertake to replace any invalid, incomplete or MISSING PROVISION with a provision that customarily approximates as closely as possible to the commercial intentions of the parties。

2。 Salvation Clause
Should any of the provisions of this deed be or become ineffective or should it be found to have any omissions, this shall have no effect on the validity of the other provisions。
   In any such case, the shareholders shall have a duty to agree on a valid provision in place of the invalid provision or to fill the MISSING PROVISION which most nearly corresponds in economic intent to that of the invalid provision or which, in light of the sense and purpose of this deed, would have been agreed had the parties hereto given consideration to the point in question。

3。 Other Provisions
If one or several provisions of the fundamental purchase contract or of these general standard terms and conditions should be invalid or include a MISSING PROVISION, the consequence is not that the complete contract becomes invalid。
   Instead of that, the invalid provision shall be replaced by a provision being valid and corresponding the best to the economic sense of the invalid provision。
   The same procedure shall be done in case of filling a gap that requires a regulation。  [Emphasis Added。]。
