This Agreement shall be governed by and construed in accordance with the laws of Zambia.The investor and the owner of mine shall use reasonable efforts to resolve any dispute which may arise under this agreement through good faith negotiations before commencing arbitration. The language to be used in arbitral proceedings shall be English. Any award made pursuant to this arbitration procedure will be final and binding on all parties hereto and may be enforced in any court of competent jurisdiction. Any report prepared by the Arbitrator will be delivered to each of the parties hereto. Costs of the arbitration will be borne by the parties in accordance with UNCITRAL rules.
